Recovery LLP, 1 St James’ Gate, Newcastle Upon Tyne, NE1 4AD at 10.30 am on 27 January 2012 the following Special and Ordinary Resolutions were duly passed:
“That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue
its business, and that it is advisable to wind up the Company, and accordingly that the Company be wound up voluntarily and
that Mark Ranson and Philip Pierce, both of Baker Tilly Restructuring and Recovery LLP, 1 St James’ Gate, Newcastle upon Tyne, NE1 4AD, (IP Nos. 009364 and 9299), be and they are hereby appointed Joint Liquidators for purposes of such winding up.”
