Resolutions for Winding-up

Pursuant to section 378(1) of the Companies Act 1985 and section 84 of the Insolvency Act 1986
At a General Meeting of the members of the above-named Company, duly convened and held at the offices of Crawfords Accountants LLP, Stanton House, 41 Blackfriars Road, Salford, Manchester M3 7DB on 30 January 2012 the following resolutions were duly passed, number 1 as a special resolution and number 2 as an ordinary resolution:-
1. “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue
its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily”.
2. “That David N Kaye FCA of Crawfords Accountants LLP, Stanton House, 41 Blackfriars Road, Salford, Manchester M3 7DB be appointed Liquidator for the purposes of the voluntary winding up of the company”.
