At a General Meeting of the above named Company, duly convened, and held at 4th Floor, Southfield House, 11 Liverpool Gardens,
Worthing, BN11 1RY on 25 January 2012 at 10.00 am the following resolutions were duly passed as a Special Resolution and as Ordinary Resolutions respectively:
“That the Company be wound up voluntarily; and that Colin Ian Vickers and Ian Paul Sykes, both of FRP Advisory LLP, 4th Floor, Southfield House, 11 Liverpool Gardens, Worthing, BN11 1RY, (IP Nos. 008953 and 9166) be and are hereby appointed Joint Liquidators for the purposes of such winding up and that anything
required or authorised to be done by the Joint Liquidators be done by both or either of them.” At a subsequent meeting of
creditors, duly convened pursuant to section 98 of the Insolvency Act 1986, and held on the same day, the appointment of Colin
Ian Vickers and Ian Paul Sykes was confirmed.
