At a General Meeting of the members of the above-named Company duly convened and held at 125 Ramsden Square, Barrow-in-Furness, Cumbria LA14 1XA on 1 September 2010 at 12.15 pm, the following Special Resolutions were duly passed:
1. “That the Company be wound up voluntarily, and that Philip Stephen Wallace (IP No 008596) of P.S. Wallace & Co., 284 Clifton Drive South, Lytham St. Annes, Lancashire FY8 1LH, be and he is hereby appointed Liquidator for the purposes of such winding up.”
2. “That the Liquidator be and is hereby authorised to divide among the members in specie all or part of the Company’s assets
at the value placed upon them by the directors in the Declaration of Solvency”.
