At a General Meeting of the Company held at 2000 Post Oak Blvd., Suite 100, Houston, Texas 77056 on 16 August 2010, at 10.15 am, the following special resolution was passed:
“That the Company be wound up voluntarily; and that Colin Peter Dempster and Andrew James Davison (IP Nos. 8908 and 9353), both of Ernst & Young LLP, Ten George Street, Edinburgh EH2 2DZ, be and they are hereby appointed Liquidators for the purposes of such winding up and any power conferred on them by law or
by this resolution, may be exercised and any act required or authorised under any enactment to be done by them, may be done
by them jointly or by each alone.”
