Resolutions for Winding-up

At a General Meeting of the Members of the above-named Company, duly convened, and held at 34 Boulevard, Weston-super-Mare, North Somerset BS23 1NF, on 10 August 2010, the following Special Resolutions were duly passed:
“That the Company be wound up voluntarily, and that Laurence Russell, of Albert Goodman, Mary Street House, Mary Street, Taunton, Somerset TA1 3NW, be appointed Liquidator of the Company for the purposes of the voluntary winding-up” and
“That the Liquidator has general sanction to receive compensation in whole or in part for the transfer or sale of any assets
belonging to the Company, in the form of shares or other like interests in the relevant transferee Company, for distribution
amongst the Members of the Company”.
