Notice is hereby given that, on 24 January 2006, Citibank International Plc, having its registered office at Citigroup Centre,
Canada Square, Canary Wharf, London E14 5LB (“Citibank”), and J.P. Morgan Europe Limited, registered with Company Number 00938937
and having its registered office at 125 London Wall, London EC2Y 5AS (“JPMorgan”), jointly applied to the High Court of England
and Wales, pursuant to section 107(1) of the Financial Services and Markets Act 2000 (the “FSMA”) for an Order sanctioning
a banking business transfer scheme (the “Scheme”).
The main purpose of the Scheme is to transfer Citibank’s business relating to the card accounts at the Post Office (the “Business”)
to JPMorgan. The Application to sanction the Scheme will be heard on 28 February by a Judge sitting in the Applications Court,
Royal Courts of Justice, Strand, London WC2A 2LL.
The Scheme will result in the business being operated by JPMorgan rather than Citibank. The card accounts at the Post Office
(“Card Accounts”) will be subject to the same terms and conditions as before except that references to Citibank, its employees,
officers and contact details will be deemed to be references to JPMorgan, its employees, officers and contact details following
the Scheme. The Card Accounts will otherwise remain unchanged in all material respects. If you have a Card Account, no action
is required of you in relation to the Scheme. No employees will be transferred to JPMorgan or made redundant pursuant to,
or as a result of, this Scheme. Any person (including any person who is an employee of Citibank or JPMorgan) who considers
that he or she would be adversely affected by the carrying out of the Scheme is entitled to be heard by the Court, pursuant
to section110(b) of the FSMA.
A statement setting out the terms of the Scheme will be sent, free of charge, to any person who requests it from: Post Office
