APPLICATION UNDER SECTION 1(4)
HBOS plc
Notice is hereby given in terms of section 1(4) of the Private Legislation Procedure (Scotland) Act 1936 that the Secretary
of State for Scotland, the Lord Chairman of Committees in the House of Lords and the Chairman of Ways and Means in the House
of Commons, having considered the representation by HBOS plc that it is expedient that the under-mentioned Parliamentary powers,
to be operative in Scotland and elsewhere, should be conferred by one enactment because it is necessary to provide for the
proper regulation of the affairs of HBOS plc, the Governor and Company of the Bank of Scotland (“Bank of Scotland”), Capital
Bank plc, Halifax plc, HBOS Treasury Services plc, Clerical Medical Investment Group Limited and Clerical, Medical and General
Life Assurance Society carried on or operating in Scotland and elsewhere, have decided that the said powers could be more
properly obtained by the promotion of a Private Bill than by the promotion of a Private Bill and a draft Provisional Order
under the said Act.
The powers sought will provide for:
(a) the regulation and management of Bank of Scotland upon its registration as a public Company under the Companies Act 1985;
(b) the transfer to Bank of Scotland of the banking businesses of Capital Bank plc, Halifax plc and HBOS Treasury Services
plc;
(c) the transfer to Clerical Medical Investment Group Limited of the assets of the Clerical, Medical and General Life Assurance
Society and for the dissolution of the Society; and
(d) connected purposes.
